BorgWarner Buys Dytech ENSA

The Michigan-based powertrain supplier has recently acquired Dytech ENSA SL in a move to enter the EGR (exhaust gas recirculation) market. Although the terms of the buyout were not disclosed, the Auburn Hills-based BorgWarner informed in its press release the fact that Dytech ENSA’s annual sales for 2009 were somewhere in the vicinity of $180 million.

For those of you wondering who exactly is Dytech ENSA and what products they have in their portfolio, you should know that the company employs almost 1,000 people with locations in Spain, Portugal and India and manufactures exhaust gas recirculation (EGR) coolers, EGR tubes, and integrated EGR modules including valves for automotive and commercial vehicle applications, both on- and off-road.

The company supplies customers such as Renault/Nissan, VW/Audi, Ford, Fiat, Navistar, GM, Daimler, PSA, Suzuki, Mahindra & Mahindra, TATA, Ashok Leyland, MAN, and IVECO.

"From both a technology and geography standpoint, this acquisition is an excellent strategic fit," said Timothy M. Manganello, Chairman and Chief Executive Officer, BorgWarner. "Combining ENSA's cooler technology with BorgWarner's technology leadership in engine air management and products such as turbochargers and EGR valves will provide operational and engineering synergies. Similarly, the acquisition creates additional market opportunities in both passenger and commercial vehicle applications, and enhances BorgWarner's ability to serve customers globally."

The importance of EGR research and development is closely linked to various vehicle emissions regulations in effect across the globe. Cooler exhaust gas helps reduce NOx and particulate matter in both diesel and gasoline-direct injection (GDI) engines. BorgWarner’s acquisition allows it to offer complete system solutions like integrated EGR valve, cooler, by-pass valve, and tubes, in one package.
